Terms of Service

These Terms of Service ("Terms") govern your use of the Insider Empire platform ("Service") operated by Insider Empire ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Service Description

Insider Empire is an insider-transaction analytics platform that provides:

• Real-time Form 3, 4, and 5 ingestion from SEC EDGAR
• Cluster detection, conviction scoring, and follow-the-CEO tracking
• Sector rotation and insider-led reversal signals
• Company research tools, watchlists, and custom alerts
• Tiered membership including a free Observer tier

2. Account Responsibilities

When you create an account, you agree to:

• Provide accurate and complete registration information
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account
• Not share your account credentials with others or allow multiple people to use a single account
• Not attempt to scrape, crawl, or programmatically extract data from the platform
• Not reverse-engineer our scoring algorithms or signal methodology

3. Subscription and Billing

Free Trial: New paid memberships receive a 7-day free trial with access to all features.

Paid Subscriptions: After the trial period, continued access requires a paid subscription. Subscriptions are billed recurringly through Stripe.

Billing: By subscribing, you authorize us to charge your payment method on a recurring basis. You will be notified before any price changes take effect.

Cancellation: You may cancel your subscription at any time from the Billing page. Upon cancellation, you retain access until the end of your current billing period. No prorated refunds are provided for partial billing periods.

Refunds: Refund requests are handled on a case-by-case basis. Please contact support@insiderempire.com within 14 days of a charge if you believe a refund is warranted.

4. Intellectual Property

All content, features, and functionality of Insider Empire — including the conviction scoring methodology, cluster detection algorithms, user interface design, graphics, and documentation — are owned by Insider Empire and are protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any portion of the Service without our express written permission.

Market data and regulatory filings displayed on the platform are sourced from third-party providers and are subject to their respective terms and licensing.

5. Investment Disclaimer

Insider Empire is NOT investment advice.

All data, analytics, scores, signals, rankings, and other content provided through the Service are for informational and educational purposes only. Nothing on this platform constitutes a recommendation, solicitation, or offer to buy or sell any securities or financial instruments.

• Past insider activity does not guarantee future results.
• Conviction scores, cluster rankings, and signal layers are quantitative tools, not buy/sell recommendations.
• Equity investments carry significant risks including market volatility, company-specific risks, and regulatory changes.
• You should always conduct your own research and consult with a qualified financial advisor before making investment decisions.
• We are not registered as a securities broker-dealer, investment advisor, or in any similar capacity with any regulatory authority.

6. Data Accuracy Disclaimer

While we use best efforts to ensure the accuracy and completeness of the data on Insider Empire, we make no guarantees regarding:

• The accuracy, completeness, or timeliness of regulatory filings or market data
• The availability or accuracy of real-time or near-real-time data feeds
• The completeness of coverage for all listed issuers
• The accuracy of derived metrics, scores, or analytics

Data is sourced from third-party providers (including SEC EDGAR, financial data APIs, and exchanges) and may contain errors, omissions, or delays. We are not liable for any decisions made based on data provided through the Service.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
• We disclaim all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• In no event shall Insider Empire, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or investment losses, arising out of your use of or inability to use the Service.
• Our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in subscription fees during the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Insider Empire and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users, or is otherwise inappropriate. Grounds for termination include but are not limited to:

• Violation of these Terms of Service
• Automated scraping or data extraction
• Account sharing or credential distribution
• Abusive behavior toward staff or other users
• Fraudulent payment activity

Upon termination, your right to access the Service ceases immediately. Sections relating to intellectual property, disclaimers, limitation of liability, and indemnification survive termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to its conflict of law provisions.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify registered users by email and update the "Last updated" date at the top of this page. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
